1. Introduction and Acceptance

1.1 Parties – These Terms and Conditions (“Terms”) govern the use of the services provided by Tipz Technology FZ-LLC (Dubai) and Tipz Technologies L.L.C. (Abu Dhabi), collectively referred to as “Tipz,” “we,” “us” or “our.” Tipz offers digital ordering, bill-splitting, payment processing, feedback and analytics services to restaurants and other food and beverage establishments (“Merchants”), and to their customers (“Users”) via the Tipz platform (“Platform”).

1.2 Agreement to Terms – By accessing or using the Platform, you acknowledge that you have read, understood and agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

• “Merchant” – any restaurant or hospitality business using the Tipz Platform to offer digital ordering, bill-splitting, payment and feedback services to Users.

• “User” – any person who accesses the Platform to browse menus, place orders, split bills, make payments or provide feedback at a Merchant’s establishment.

• “Services” – the digital menu, ordering, bill-splitting, payment processing, feedback, analytics dashboard and related services provided by Tipz via the Platform.

• “Transaction” – any order, payment or refund initiated through the Platform.

3. Scope of Services

3.1 Tipz provides Merchants with a QR-code-driven digital interface enabling Users to view menus, split bills, pay, provide feedback and access receipts. The Platform may also include analytics and reporting tools for Merchants.

3.2 Tipz acts as a service provider and facilitator between Users and Merchants. Tipz is not a restaurant, food provider or agent of the Merchant. Tipz does not prepare or deliver food or beverages and is not responsible for the Merchant’s business operations.

4. Account Registration and Use

4.1 User Accounts – Users may access certain features of the Platform without creating an account; however, some functionality (such as storing payment methods or accessing reward programs) may require account registration. You must provide accurate, complete and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities that occur under your account.

4.2 Merchant Accounts – Merchants must register an account and provide business information, including trade licence details and contact information. Merchants represent and warrant that they have the authority to bind their organisation to these Terms and to list menu items, prices, discounts and other offers accurately.

4.3 Prohibited Activities – You may not use the Platform for any unlawful purpose or in a manner that could damage, disable or impair any Tipz server or network. Unauthorised access, fraudulent transactions, or use of the Platform in violation of applicable laws (including payment regulations and anti-money laundering laws) is strictly prohibited. Tipz reserves the right to suspend or terminate accounts that violate these Terms.

5. Fees and Charges

5.1 Service Fees – Tipz charges service fees for the use of the Platform. These may include a percentage fee applied to the transaction amount, a per-use fee or subscription fees. Tipz may charge fees to both Users and Merchants. Fee structures and applicable rates will be displayed within the Platform or in a written agreement with the Merchant. Tipz may revise its fees from time to time upon reasonable notice, and continued use of the Platform constitutes acceptance of such changes.

5.2 Payment of Fees – Fees payable by Merchants may be deducted from settlements owed to the Merchant or invoiced separately. Users agree to pay any applicable service fees and surcharges at checkout. All fees are inclusive of applicable taxes unless otherwise stated.

6. Payments and Transactions

6.1 Third-Party Payment Processing – Tipz uses authorised payment gateway partners (currently Magnati, Mashreq and Network International) to process payments. Tipz does not hold or control user funds and is not a party to the payment contract between the User and the Merchant. All payment transactions are subject to the terms, conditions and privacy policies of the respective payment processor.

6.2 User Responsibility – Users must ensure that their payment information is accurate and up-to-date. Tipz is not responsible for any loss or liability resulting from incorrect payment details provided by the User. Users may not use the Platform for fraudulent or unauthorised transactions.

6.3 Merchant Responsibility – Merchants are solely responsible for fulfilling orders, providing goods or services, and complying with applicable health and safety regulations. Tipz does not guarantee the quality, safety or legality of products provided by Merchants.

6.4 No Guarantee of Transaction Completion – Tipz does not guarantee that every attempted transaction will be completed. Transactions may be declined by the payment processor, financial institution or Merchant. Tipz is not liable for any failed or reversed transactions beyond its control.

7. Refunds and Cancellations

7.1 Refund Policy – Refunds are governed by our Refund Policy (see Section 5). Users seeking a refund should contact the Merchant directly. Tipz will facilitate refund requests via the payment processor but does not guarantee that refunds will be granted. Tipz’s service fees may not be refundable unless required by law.

7.2 Disputes – Any dispute regarding the quality of goods or services should be resolved between the User and the Merchant. Tipz may, at its discretion, provide assistance to facilitate communication but is not responsible for mediating disputes.

8. Intellectual Property

8.1 Ownership – The Platform and all related content, features and technology are owned by Tipz or its licensors and are protected by copyright, trademark, trade secret and other intellectual property laws. Users and Merchants may not copy, modify, distribute, reverse engineer or exploit any part of the Platform without Tipz’s express written consent.

8.2 Use of Marks – “Tipz” and all associated logos are trademarks of Tipz Technology FZ-LLC and Tipz Technologies L.L.C. Merchants may use Tipz trademarks and marketing materials solely to promote the Tipz Platform at their establishments, subject to compliance with Tipz’s brand guidelines.

9. Liability and Disclaimer

9.1 No Warranty – The Platform is provided “as is” and “as available” without warranties of any kind. Tipz disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Tipz does not warrant that the Platform will be uninterrupted, error-free, secure or that defects will be corrected.

9.2 Merchant Responsibility – Tipz is not responsible for the quality, safety, legality or availability of any goods or services offered by Merchants. All food safety, hygiene and regulatory compliance obligations rest solely with the Merchant. Tipz does not mediate between Users and Merchants regarding the quality of products or service.

9.3 Limitation of Liability – To the maximum extent permitted by law, Tipz’s total liability arising out of or in connection with the Platform, whether in contract, tort (including negligence), strict liability or otherwise, shall be limited to the amount of fees actually paid by the User or Merchant to Tipz in the three (3) months preceding the event giving rise to the claim. Tipz shall not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits or revenue, even if we have been advised of the possibility of such damages.

10. Suspension and Termination

10.1 By Tipz – Tipz may, at its sole discretion, suspend or terminate your access to the Platform immediately and without notice if: (a) you breach these Terms or any other agreement with Tipz; (b) Tipz reasonably suspects fraud or illegal activity; (c) required by law or regulatory authorities; or (d) for scheduled or emergency maintenance.

10.2 By Merchant or User – Merchants and Users may terminate their account at any time by providing written notice. Termination does not affect obligations incurred prior to termination, including payment of fees or satisfaction of outstanding transactions.

11. Governing Law and Dispute Resolution

11.1 Governing Law – These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the United Arab Emirates.

11.2 Jurisdiction – For matters involving Tipz Technology FZ-LLC (Dubai), the courts of DIFC, Dubai shall have exclusive jurisdiction. For matters involving Tipz Technologies L.L.C. (Abu Dhabi), the courts of Abu Dhabi shall have exclusive jurisdiction. By using the Platform, you irrevocably submit to the relevant jurisdiction and waive any objection on the grounds of venue or forum non conveniens.

11.3 Dispute Resolution – Before commencing legal proceedings, Users and Merchants are encouraged to contact Tipz to attempt to resolve disputes amicably. Tipz may propose mediation or other alternative dispute resolution mechanisms; however, participation is voluntary unless otherwise required by law.

12. Miscellaneous

12.1 Assignment – Tipz may assign or transfer its rights and obligations under these Terms to any affiliate or successor in interest without notice. Users and Merchants may not assign or transfer their rights without Tipz’s prior written consent.

12.2 Severability – If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Entire Agreement – These Terms constitute the entire agreement between you and Tipz regarding your use of the Platform and supersede all prior agreements or understandings.

12.4 Notices – All notices to Tipz must be sent by email to [email protected]. Tipz may provide notices to you via email, postings on the Platform or other reasonable means.
